1. Acceptance of these terms

These Terms of Use (the "Terms") govern your access to and use of epointlab.com (the "Site"), operated by EPoint Lab, a business and management consulting practice of EPoint Corporation ("EPoint Lab", "we", "us" or "our"). By accessing or using the Site you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

2. Purpose of the Site

The Site provides general information about EPoint Lab, notices to our clients and partners regarding the status of our services, and a means of contacting us. The Site is informational in nature. We may change, suspend or discontinue any part of the Site at any time without notice, including during periods of scheduled maintenance.

3. No professional advice

Nothing on the Site constitutes business, management, financial, legal, tax or other professional advice, and nothing on the Site constitutes an offer to provide services or a commitment to accept any engagement. Consulting services are provided only under a separate written agreement between EPoint Lab and the client, and the terms of that agreement, not these Terms, govern any engagement.

4. Use of the contact form

Submitting a message through the contact form does not create a client, advisory or confidential relationship between you and EPoint Lab. Please do not send us confidential or proprietary information until a written engagement agreement is in place. Information submitted through the contact form is handled as described in our Privacy Policy. You represent that the information you provide is accurate and that you are authorized to provide it.

5. Acceptable use

You agree not to: use the Site or the contact form to send unsolicited commercial messages, unlawful, defamatory, harassing or infringing content, or malicious code; use automated means to submit forms, scrape content or place excessive load on the Site; attempt to gain unauthorized access to the Site, its servers or any related systems; or interfere with the proper working of the Site. We may limit, suspend or block access to the Site for any conduct that we consider to violate these Terms.

6. Intellectual property

The Site and its content, including text, graphics, logos, trademarks, trade names and the design and arrangement of the Site, are owned by EPoint Corporation or its licensors and are protected by copyright, trademark and other intellectual-property laws. You may view and print pages of the Site for your own informational, non-commercial use. Any other use, including reproduction, modification, distribution or republication, requires our prior written permission. "EPoint", "EPoint Lab" and the associated logos are trademarks or trade names of EPoint Corporation.

7. Third-party services

The Site uses fonts delivered by Google Fonts and is hosted by a third-party hosting provider. Your use of any third-party service is subject to that provider's own terms and privacy practices, which we do not control. Any links to third-party websites are provided for convenience only, and we are not responsible for their content.

8. Disclaimer of warranties

The Site is provided "as is" and "as available". To the fullest extent permitted by law, EPoint Lab disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Site will be uninterrupted, timely, secure or error-free. Information on the Site may be updated or changed without notice, and we do not warrant its completeness or accuracy at any given time.

9. Limitation of liability

To the fullest extent permitted by applicable law, EPoint Lab, EPoint Corporation and their officers, directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or relating to your use of, or inability to use, the Site, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Site will not exceed one hundred United States dollars (US $100). Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

10. Governing law

These Terms are governed by the laws of the State of Florida and the federal laws of the United States of America, without regard to conflict-of-laws principles. Any dispute arising out of or relating to the Site or these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Florida, and you consent to the personal jurisdiction of those courts. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.

11. Changes to these terms

We may revise these Terms from time to time. The revised Terms will be posted on this page with an updated effective date, and your continued use of the Site after they are posted constitutes your acceptance of the revised Terms.

12. Contact

Questions about these Terms may be sent to us through the contact form on our homepage.
